Terms of Service

These Terms govern your use of the Klem HQ website at klemhq.com and the products we publish under the Klem HQ name — currently PageKeeper, our app on the Atlassian Marketplace. By installing one of our apps, creating an account on a product surface, or otherwise using our services, you agree to these Terms.
We have written these Terms in plain English. Where a word has a specific meaning in this document, it is defined in context.
1. Acceptance
These Terms form a binding agreement between you (the customer or end user) and Klem HQ, a sole proprietorship operated by an individual proprietor based in Asia, trading under the name "Klem HQ" (referred to as "we", "us", or "our"). The full legal entity details are available on written request to legal@klemhq.com.
If you are accepting these Terms on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" then refers to that organisation.
If you do not agree with any part of these Terms, do not install or use the services.
For PageKeeper, your use is also subject to the Atlassian Marketplace Terms of Use and the Atlassian Cloud Terms of Service that govern your underlying Atlassian instance. Where a Marketplace-imposed term conflicts with these Terms in a way mandated by Atlassian, the Marketplace term prevails for that conflict.
2. Service description
Klem HQ publishes focused software for teams that work in collaboration platforms such as Atlassian Confluence and Jira.
PageKeeper is a Forge app that scans configured Confluence spaces, identifies pages that have not been updated for a configurable period, contacts page owners about them, and supports archival workflows. PageKeeper runs inside the Atlassian Forge runtime; it does not require you to install anything on your own infrastructure.
We may add, modify, or retire features over time. We will give reasonable notice — at least 30 days — before retiring a paid feature that customers actively rely on.
3. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and have the legal capacity to enter into a contract. You must not use our services if you are barred from doing so under the laws of your jurisdiction or under sanctions law that binds us.
4. Accounts and access
The Klem HQ products you use today are accessed through your Atlassian Cloud account. We do not maintain a separate username and password for PageKeeper.
You are responsible for keeping your Atlassian credentials secure, and for the actions taken in your Atlassian instance by users you have granted administrator rights to. We are not liable for unauthorised use that results from compromised Atlassian credentials.
If we ever introduce a Klem HQ-native account system, we will publish account-specific terms before activation.
5. Licence — what you get from us
Subject to these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the services for your internal business purposes during the term of your subscription.
You may not:
- Resell, sublicense, lease, or commercially redistribute the services.
- Reverse engineer, decompile, or attempt to derive the source code, except where this restriction is prohibited by applicable law.
- Use the services to build a competing product, or to extract data for the purpose of training a machine-learning system that competes with us.
- Use the services in a way that violates the Acceptable Use rules in section 7.
We retain all right, title, and interest in the services, including all intellectual property rights, except for the limited licence granted above.
6. Licence — what we get from you
6.1 Your data
You retain all right, title, and interest in the data your organisation puts into Confluence. We do not claim ownership of any of it.
You grant us a limited, worldwide, royalty-free licence to access, process, and transmit that data only as necessary to provide the services you have configured — and only on the categories of data described in our Privacy Policy (page metadata, account IDs, configuration, audit logs).
6.2 Feedback
If you send us feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback to improve our products, with no obligation to compensate you. We will not publish your name or organisation in connection with that feedback without your permission.
7. Acceptable use
You agree not to:
- Use the services to violate any applicable law, infringe anyone's rights, or harm anyone.
- Attempt to break, probe, or stress-test the services beyond your normal usage, except with our written permission.
- Circumvent rate limits, paywalls, or feature gates.
- Upload malware, phishing payloads, or content that you do not have the right to process.
- Use the services to send unsolicited commercial messages.
We may suspend or terminate access for material breach of this section, with reasonable notice where the situation allows for it.
8. Fees and payment
PageKeeper is sold through the Atlassian Marketplace. Atlassian, not Klem HQ, is the merchant of record. Atlassian invoices you, collects tax, and pays us under the Atlassian Marketplace Vendor Agreement.
This means:
- Pricing tiers, free thresholds, billing cycles, and refund eligibility follow what we publish on our Marketplace listing.
- Disputes over an invoice or a refund are handled in the first instance through Atlassian Marketplace support.
- We do not store your payment card or bank details. See our Privacy Policy, section 2.3.
If we ever sell a product directly (off-Marketplace), we will publish separate billing terms covering that scenario before activation.
9. Intellectual property
The Klem HQ name, the "K" mark, the KLEM HQ wordmark, and the names and logos of our products (including "PageKeeper") are our trademarks. You may refer to them factually — for example, "we use PageKeeper at Acme Corp" — but you may not use them in a way that suggests endorsement or partnership without our written permission.
The visual identity, design system, source code, and documentation we publish remain our intellectual property except where we explicitly release them under an open-source licence.
10. Confidentiality
If, in the course of using our services, either of us shares non-public information that a reasonable person would treat as confidential, the receiving party will treat it with at least the same care it uses for its own confidential information, and will not disclose it to third parties except as needed to provide the services or as required by law.
This obligation survives termination of these Terms for three years.
11. Warranties and disclaimers
11.1 Free tier — AS IS
The free tier of any Klem HQ product is provided AS IS, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent allowed by law.
11.2 Paid tier — limited service warranty
For paid PageKeeper tiers, we warrant that we will provide the service with reasonable skill and care, and that the service will substantially conform to its published documentation.
We use commercially reasonable efforts to keep PageKeeper available. Klem HQ does not provide a written Service Level Agreement (SLA) in v1.0 of these Terms. We may publish a written SLA for paid tiers in a future version of these Terms; until then, no specific availability percentage, response time, or service credit is guaranteed.
We do not promise that the service will be uninterrupted, error-free, or that it will detect every stale page. PageKeeper's stale-page rules operate on metadata exposed by Confluence and reflect that data faithfully — but we cannot warrant the accuracy of the underlying Confluence data.
12. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.
- Our aggregate liability for any and all claims arising out of or relating to these Terms or the services is limited to the fees you paid us, through Atlassian Marketplace, for the affected service in the twelve (12) months immediately preceding the event giving rise to the claim.
- For the free tier, where no fees are paid, our aggregate liability is limited to USD 100.
Nothing in this section limits liability that cannot lawfully be limited — for example, liability for fraud, willful misconduct, or death or personal injury caused by negligence.
13. Indemnification
You agree to indemnify and hold us harmless from any third-party claim arising from (a) your violation of these Terms, (b) your violation of applicable law, or (c) the data your organisation chooses to process through our services where that data infringes a third party's rights.
We will indemnify you against a third-party claim that the unmodified Klem HQ service, used as documented, infringes that third party's intellectual property rights, provided you notify us promptly and let us control the defence.
14. Termination
You may stop using the services at any time by uninstalling the app from your Atlassian instance and cancelling any paid subscription through the Atlassian Marketplace.
We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within 14 days of notice, or immediately if the breach cannot reasonably be cured.
On termination:
- Your licence to use the services ends.
- Outstanding fees remain payable.
- We will delete your customer configuration and audit logs within 90 days, except as required by law (see Privacy Policy section 7).
- Sections 6.2 (feedback), 9 (IP), 10 (confidentiality), 11 (disclaimers), 12 (liability cap), 13 (indemnification), 15 (governing law), and 16 (disputes) survive termination.
15. Governing law
These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Dispute resolution
The parties will first try to resolve any dispute informally by writing to legal@klemhq.com. If the dispute is not resolved within 30 days, it will be finally settled by arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules in force at the time of submission.
- The seat of arbitration will be Singapore.
- The arbitration will be conducted by one arbitrator appointed in accordance with the SIAC Rules.
- The language of the arbitration will be English.
- The award is final and binding on both parties.
Either party may seek injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property or confidential information without first proceeding to arbitration.
17. Changes to these Terms
We will update these Terms when our services or our legal context changes. Material changes will be announced on klemhq.com/legal/terms-of-service with at least 30 days' notice before they take effect, and — for active paid customers — by email. Continuing to use the services after the change takes effect constitutes acceptance.
18. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any product-specific terms we publish, are the entire agreement between us on this subject.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment. You may not assign these Terms without our written consent. We may assign them to a successor entity — for example, when Klem HQ is restructured into a limited company in a jurisdiction such as Hong Kong, Singapore, or the United States — with notice to you.
- No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
- Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control, including outages of the Atlassian Forge platform.
